Scope of these Terms

These Terms apply to nocxstratum.com and to general inquiries, quotations, demonstrations, project discussions, and services provided by NOCX.

A signed agreement, accepted quotation, statement of work, invoice, order form, or other project-specific document may add to or replace these Terms for that project. If a project-specific document conflicts with these general Terms, the project-specific document controls to the extent of the conflict.

Using this website

You may use this website to review our services, pricing, samples, portal demonstrations, process, and to contact us about a project. You must not interfere with the website or its security, attempt unauthorized access to restricted systems, submit unlawful or malicious material, misuse forms or communications, or use the website in a way that violates applicable law or the rights of others.

Quotations, packages, and project scope

Website prices, package descriptions, estimates, and portal calculations are based on the scope and information shown or supplied at the time. The final project scope should identify the pages, functions, integrations, content responsibilities, revisions, fees, recurring services, and deliverables that apply.

Work outside the agreed scope—including additional pages, functions, integrations, workflows, redesigns, or materially different requirements—may require a revised quotation or separate approval.

Client information, materials, and approvals

Clients are responsible for providing accurate business information, required content, approvals, instructions, and materials they are authorized to use. This includes logos, photographs, trademarks, product information, text, and other client-supplied content.

Delays in required information, access, approvals, or decisions may affect delivery schedules. We are not responsible for claims arising from client-supplied material that infringes another person's rights or is unlawful.

Domains, hosting, and third-party services

Domains, hosting, payment systems, telecommunications, SMS, email delivery, maps, analytics, accounting systems, cloud services, and other third-party products may have separate fees, availability rules, privacy practices, and terms set by their providers. Unless a project document expressly states otherwise, third-party provider charges are separate from NOCX development fees.

Where a website or portal supports third-party integrations, the client may be able to enter and manage its own credentials through an authorized settings area. Clients should not send passwords, private API keys, secret keys, or similar credentials through ordinary inquiry forms or unsecured communications.

Payments, recurring services, and revisions

Prices, deposits, payment stages, recurring service fees, due dates, included revisions, and any renewal terms are stated in the applicable quotation, invoice, package, or agreement. Work may be paused where an agreed payment, approval, or required client dependency is outstanding.

Recurring website care, maintenance, hosting, support, or other ongoing services are separate from one-time development work unless the applicable package or agreement expressly includes them.

Ownership and reusable systems

Unless a written agreement states otherwise, the client receives the agreed client-specific deliverables after the required payment has been completed. NOCX retains its pre-existing frameworks, reusable components, development systems, libraries, methods, know-how, internal tools, and other materials that are not unique client content.

Third-party software, fonts, photographs, plugins, APIs, platforms, and other licensed materials remain subject to the rights and license terms of their respective owners.

Website samples and portal demonstrations

Website samples and portal demonstrations are provided to show NOCX design and development capabilities. Unless a page expressly states otherwise, fictional demo businesses, people, records, figures, workflows, transactions, chat messages, and user actions are not real customer or production data.

Demonstration actions are not intended to initiate real payments, send production messages, modify real CRM records, or create obligations for a fictional business.

Privacy, calls, and requested communications

Personal information is handled under our Privacy Policy. Where we intentionally record an ordinary business or sales call, our operating standard is to disclose the proposed recording and its purpose and obtain affirmative permission before recording begins.

SMS is used only for information a recipient specifically requests or for a text conversation the recipient initiates or authorizes. Requesting one message does not enroll the recipient in unrelated promotional or recurring SMS marketing.

Website availability and responsibility

We take reasonable steps to operate and protect the website, but uninterrupted availability cannot be guaranteed. Internet services, hosting, networks, browsers, third-party systems, maintenance, security events, and circumstances outside our reasonable control may affect access or performance.

To the extent permitted by applicable law, NOCX is not responsible for indirect or consequential loss arising solely from use of the public website or from a third-party service outside our control. Nothing in these Terms excludes a right or remedy that cannot lawfully be excluded.

Governing law and changes

These general Terms are governed by the laws of the Republic of the Philippines, subject to any mandatory rights that apply under another jurisdiction and unless a project-specific written agreement lawfully states otherwise.

We may revise these general website Terms when our services, systems, or legal obligations change. A website update does not retroactively rewrite a separately signed agreement or completed transaction record.

For these Terms, the service provider is NOCX Stratum Web Dev Services Opc, an SEC-registered Philippine One Person Corporation (OPC), operating publicly as NOCX Stratum.
